Bascially an NDA is a contract between you and another entity, and you can just write whatever you want and if both parties agree to it and sign it then it's legally binding... but it should be very complete if you ever think you might need to use it in court. If you miss a detail in the NDA it could be used as a loophole against you later. Also remember that the NDA is not a magic forcefield... the person can always blab, you'd just have legal grounds to take them to court later... but by then the damage is done. It is my belief that you also must also at least know and trust them to a certain extent before dragging out an NDA.
